Zenoni & Colombi owns the website www.zenoniecolombi.com. In this document, Zenoni & Colombi will be referred to as "MC DONALD S.R.L.", the company name under which it conducts online sales on the website www.zenoniecolombi.com. The general terms and conditions of sale, hereinafter referred to as the "General Terms and Conditions of Sale", will also apply to new types of services that MC DONALD S.R.L. may provide in the future, unless otherwise specified upon registration or when the new service is first provided.

Acceptance of the General Terms and Conditions of Sale and account creation on Zenoni & Colombi

Creating an account on www.zenoniecolombi.com is free and optional. Login credentials (email address and password) must be used exclusively by the Customer and may not be transferred to third parties. The Customer undertakes to keep them secret, ensure that no third party has access to them, and immediately notify MC DONALD S.R.L. if they suspect or become aware of any improper use or disclosure of the credentials. Each Customer may create only one account on www.zenoniecolombi.com. The same Customer is therefore expressly prohibited from registering multiple times. If MC DONALD S.R.L. discovers that a Customer has registered multiple times on the website, it reserves the right to immediately delete the related secondary accounts on Zenoni & Colombi without prior notice.

The Customer warrants that the personal information provided during the account creation process on Zenoni & Colombi is complete and truthful. The use of false, and/or fabricated and/or fictitious names is expressly prohibited, and the Customer undertakes to hold Zenoni & Colombi harmless and indemnify it against any damage, compensation obligation and/or penalty arising from and/or in any way connected with the user's breach of the rules on website registration or the storage of registration credentials.

The contract between MC DONALD S.R.L. and the Customer shall be deemed concluded upon acceptance, even partial, of the order by Zenoni & Colombi. Such acceptance shall be deemed tacit unless otherwise communicated to the Customer by any means. By placing an order using any of the available methods, the Customer declares that they have read all the information provided to them during the purchasing procedure and fully accept these General Terms and Conditions of Sale.

If the Customer is a consumer (i.e., a natural person purchasing goods for purposes unrelated to their professional activity), once the online purchasing procedure has been completed, they shall print or save an electronic copy of these General Terms and Conditions of Sale and, in any case, retain them, in accordance with Articles 50 et seq. of Legislative Decree No. 206/05.

The Customer shall have no right to compensation or indemnity, nor shall there be any contractual or non-contractual liability for direct or indirect damage to persons and/or property caused by the refusal to accept an order, even in part.

Orders

The Customer may purchase only the products listed in the electronic catalog on the website www.zenoniecolombi.com at the time the order is submitted, as described in the relevant product information sheets.

Minimum order

Customers are not required to spend a minimum amount to place an order.

Finalization and conclusion of the contract

Once payment has been confirmed, the customer will receive an order confirmation email. It is therefore necessary to provide a valid email address.

Unusual orders

In the event of orders that are deemed unusual in terms of the quantity of products purchased or the frequency of purchases made, MC DONALD S.R.L. reserves the right to take all necessary action to put an end to the irregularities. Such action may include:

• Refusal or cancellation of irregular orders;
• Suspension of access to the website;
• Cancellation (including permanent cancellation) of the Customer's account.

Fraudulent orders

MC DONALD S.R.L. reserves the right to refuse and cancel orders placed by a Customer who:

• who has provided false, incomplete or otherwise inaccurate identification details;
• with whom MC DONALD S.R.L. has an ongoing legal dispute;
• who has previously breached these MC DONALD S.R.L.. Terms and Conditions.

In addition to refusing and cancelling the order in question, the action may include suspending access to the website and/or cancelling (including permanently) the Customer's account.

Invoicing and tax matters

The invoice must be requested when placing the order during checkout. The information required for invoicing is: company name, VAT number, tax code, certified email/SDI code.

If no invoice is requested, the transaction will be entered in the daily receipts register, without issuing a receipt, in accordance with Article 22 of Presidential Decree No. 633/1972 concerning mail-order sales, which includes online sales.

Once the sale has been entered in the receipts register, it will no longer be possible to issue an invoice.

MC DONALD S.R.L. reserves the right to change the prices published on this website at any time. The product prices published from time to time supersede and replace previous prices.

Ownership

Ownership of the Products passes to the Customer after full payment for the products or their delivery, whichever occurs last.

Product warranty

All sellers are required to comply with the new legislation on guarantees for consumer goods (Legislative Decree 24/2002). MC DONALD S.R.L. complies with all requirements of the new legislation concerning the legal guarantee, but the individual manufacturer shall determine the duration and terms of the conventional or commercial warranty or warranty of proper functioning, which covers defects resulting from prolonged use over time. The latter refers to the warranty voluntarily provided by the individual manufacturer. MC DONALD S.R.L. shall provide a 12- or 24-month warranty from delivery, depending on the manufacturer's terms, if the defect reported by the consumer constitutes a lack of conformity as defined in Legislative Decree 24/2002.

Returns and refunds

Pursuant to Articles 64 et seq. of Legislative Decree 206/05, the Customer has the right to return goods within 14 days. Goods that have been used or washed cannot be returned. Personalized items that conform to the order cannot be returned.

Legal notices

Force majeure

In the event of force majeure or unforeseen circumstances, MC DONALD S.R.L. shall not be held liable for delays or failure to deliver and may terminate the contract in whole or in part, or suspend or defer its performance.

Amendments to the Terms of Sale

MC DONALD S.R.L. reserves the right to amend the website, sales policies and these GTC at any time, both to accommodate the sale of new products and to comply with new legal provisions. The Customer will be subject to the GTC in force from time to time when purchasing goods from www.zenoniecolombi.com.

Applicable law

These GTC are governed by and shall be interpreted in accordance with Italian law.

Court of competent jurisdiction

For civil disputes concerning the application of Sections I to IV of Chapter I of Title III of Part III of Legislative Decree No. 206 of September 6, 2005, containing the Consumer Code, exclusive jurisdiction lies with the court in the place where the consumer resides or is domiciled, if located within Italy. In all other cases, the Court of Bergamo has jurisdiction.
