Acceptance of the GCS and account creation on Zenoni & Colombi

Creating an account on www.zenoniecolombi.com is free of charge and optional. The login credentials (email address and password) must be used exclusively by the Customer and may not be transferred to third parties. The Customer undertakes to keep them confidential, ensure that no third party has access to them, and immediately inform MC DONALD S.R.L. if they suspect or become aware of any improper use or disclosure of them. Each Customer is permitted to create only one account on www.zenoniecolombi.comMultiple registrations by the same Customer are therefore expressly prohibited. If MC DONALD S.R.L. discovers that a Customer has made multiple registrations on the site, it reserves the right to immediately delete the related secondary accounts on Zenoni & Colombi without prior notice.

The Customer guarantees that the personal information provided during the account creation process on Zenoni & Colombi is complete and truthful. The use of false, invented, and/or fictitious names is expressly prohibited, and the Customer undertakes to indemnify and hold Zenoni & Colombi harmless from any damage, compensation obligation, and/or penalty arising from and/or in any way connected with the user's violation of the rules on registering on the site or storing registration credentials.

The contract entered into between MC DONALD S.R.L. and the Customer shall be deemed concluded upon acceptance, even partial, of the order by Zenoni & Colombi. Such acceptance shall be deemed tacit unless otherwise communicated to the Customer by any means. By placing an order through any of the available methods, the Customer declares that they have reviewed all the information provided during the purchasing procedure and fully accept these General Terms and Conditions.

If the Customer is a consumer (i.e., an individual who purchases the goods for purposes unrelated to their professional activity), once the online purchasing procedure has been completed, they shall print or save an electronic copy of these General Terms and Conditions and, in any event, retain them, in accordance with Articles 50 et seq. of Legislative Decree 206/05.

The Customer shall have no right to compensation or indemnity, nor shall there be any contractual or non-contractual liability for direct or indirect damage to persons and/or property caused by the non-acceptance, even partial, of an order.

Orders

The Customer may purchase only the products listed in the website's electronic catalog www.zenoniecolombi.com at the time the order is submitted, as described in the relevant information sheets.

Minimum order

Customers are not required to meet any minimum spending amount to process an order.

Completion and conclusion of the contract

Once payment has been confirmed, the customer will receive an order confirmation email. It is therefore necessary to have provided a valid address.

Unusual orders

In the event of orders that are deemed unusual in relation to the quantity of products purchased or the frequency of purchases made, MC DONALD S.R.L. reserves the right to take all necessary action to put an end to the irregularities. These actions may include:

• Non-acceptance or cancellation of irregular orders;
• Suspension of access to the website;
• Cancellation (including permanent cancellation) of the Customer's account.

False orders

MC DONALD S.R.L. reserves the right to refuse and cancel orders placed by a Customer who:

• who has provided false, incomplete or otherwise inaccurate identifying information;
• with whom MC DONALD S.R.L. is involved in ongoing legal proceedings;
• who has previously violated these General Terms and Conditions of MC DONALD S.R.L..

In addition to rejecting and cancelling the order in question, the action may include suspending access to the website and/or cancelling the Customer's account, including permanently.

Invoicing and tax matters

The invoice must be requested when placing the order during the cart stage. I The information required for invoicing is: company name, VAT number, tax code, certified email/SDI.

If an invoice is not requested, the transaction will be entered in the daily receipts register, without issuing a receipt, pursuant to Article 22 of Presidential Decree No. 633/1972 concerning mail-order sales, which include online sales.

Once the sale has been entered in the receipts register, it will no longer be possible to issue an invoice.

MC DONALD S.R.L. reserves the right to change the prices published on this website at any time. The product prices published from time to time cancel and replace the previous ones.

Ownership

Ownership of the Products passes to the Customer after full payment for the products or their delivery, whichever occurs later.

Product Warranty

All sellers are required to comply with the new legislation on the guarantee of consumer goods (Legislative Decree 24/2002). MC DONALD S.R.L. complies with all requirements of the new legislation concerning the legal guarantee, but the individual manufacturer is responsible for deciding the duration and content of the conventional, commercial, or performance guarantee concerning defects resulting from prolonged use over time. The latter means the guarantee voluntarily provided by the individual manufacturer. MC DONALD S.R.L. will provide a 12- or 24-month guarantee from delivery, in accordance with the manufacturers' specifications, if the defect reported by the consumer constitutes a lack of conformity as indicated by Legislative Decree 24/2002.

Returns and refunds

Pursuant to Article 64 et seq. of Legislative Decree 206/05, the Customer has the right to return goods within 14 days. Used or washed goods cannot be returned. Personalized items cannot be returned if they conform to the order.

Force majeure

In the event of force majeure or unforeseeable circumstances, MC DONALD S.R.L. shall not be held liable for delayed or failed delivery and may terminate the contract in whole or in part, or suspend or defer its performance.

Changes to the conditions of sale

MC DONALD S.R.L. reserves the right to modify the website, sales policies, and these General Terms and Conditions of Sale at any time, both to accommodate the sale of new products and to comply with new legal provisions. Please note that the Customer will be subject to the General Terms and Conditions of Sale in force from time to time when purchasing goods from www.zenoniecolombi.com.

Applicable law

These General Terms and Conditions of Sale are governed by and must be interpreted in accordance with Italian law.

Competent court

For civil disputes concerning the application of Sections I to IV of Chapter I of Title III of Part III of Legislative Decree no. 206 of September 6, 2005, containing the Consumer Code, exclusive jurisdiction lies with the court of the consumer's place of residence or domicile, if located within the territory of the State; for all other disputes, the Court of Bergamo has jurisdiction.
